User Generated Content Terms & Conditions

Memphis Tourism reaches out to social media users to seek their permission to feature our favorite content on our various sites, social channels, and various promotional materials. You are reading this because Memphis Tourism has requested your permission to use your social media content in this way. By registering your content (videos, text, tweets, posts, photos, comments) with the Memphis Tourism you agree to the following terms & conditions.

By making or agreeing to the submission of content, you promise that:

1. You are an adult 18 years of age or older;
2. If the image of a minor under the age of 18 is shown in the content, then you are the parent/guardian of the minor;
3. You have obtained the consent of any other adult appearing in content to use their names, images or likenesses and any other third party-owned elements;
4. You are the original author of the content and you have the ability to grant rights and licenses for the use of the content; further, the content was not created as part of your employment for an employer;
5. Your content does not infringe or violate the rights of any third parties, including, but not limited to, intellectual property rights, copyrights, trademarks, rights of publicity/privacy, patent, trade secret or confidentiality obligations;
6. You retain any copyright or other intellectual property rights in the content; 
7. You grant Memphis Tourism and its affiliates a non-exclusive, transferable, royalty-free worldwide license to use the content for any lawful purposes; including but not limited to the right to display the content on the website or in other marketing, advertising or promotions together with your name and other identifying information provided, including without limitation any social media identifier, handle or profile picture;
8. You acknowledge that Memphis Tourism and its affiliates is not responsible for, and has no liability for, any use of all or any part of the Content submitted. You agree to hold harmless and release Memphis Tourism and its affiliates, along with its respective officers, directors, employees, agents, assigns, licensees and successors, from any and all claims, demands, or causes of action (collectively “claims”) that you or your heirs, representatives, executors, administrators, or any other persons acting on your behalf or on behalf of your estate have or may have, whether now in the future, relating to the use of your Content, including without limitation, any claims of defamation, invasion of privacy, rights of publicity or copyright, or any other right you may have.
9. Memphis Tourism and its affiliates reserves the right, at its sole discretion, to edit any content and to choose to include, not include or remove such content from its Website or in any other materials where the submission may appear.
10. The law of Tennessee governs any disputes related to the usage of content.
 
Notice:  If you are not the original author of the Content, the use of the content violates a third party’s intellectual property rights or if you have failed to obtain the valid consent of anyone appearing in a photo, you agree to pay all damages including but not limited to legal fees for the misappropriation or copying of the Content and indemnify Memphis Tourism for any loss associated with the use of your Content.
